The legal framework for using our services in the field of content creation and visual media.
These General Terms and Conditions (GTC) govern the legal relationship between Gulf Illustrated GmbH (hereinafter "Provider") and its customers (hereinafter "User") in connection with the provision of content creation services and the integration of visual media into digital marketing strategies.
The subject matter of the contract includes the conception, creation, provision, and optimization of textual and visual content for the user's digital communication. The specific services are derived from the respective individual contract or service offer.
The Provider undertakes to perform the agreed services carefully, in accordance with the rules of the art, and in compliance with the agreed specifications. The services are based on the information and materials provided by the User.
The User is obliged to provide all information, data, and materials necessary for the fulfillment of the contract in a timely, complete, and correct manner. The User ensures that they have all necessary rights to the provided materials.
The User bears the content responsibility for the content approved and published by them. They are obliged to review created drafts and concepts promptly and provide feedback.
The remuneration for the services is based on the currently valid service catalog or the individual offer. All prices are plus the statutory value-added tax.
Invoices are due within 14 days of the invoice date without deduction, unless otherwise agreed. In the event of the User's default in payment, default interest at the statutory rate may be charged.
For projects with a longer duration, the Provider may agree on a reasonable advance payment or partial payments. The exact conditions can be found in the respective contract.
The Provider retains the copyright to all works created by them (texts, graphics, concepts). The User is granted the simple, non-exclusive, temporally and spatially unlimited right to use the delivered works for the agreed purpose.
The transfer, reproduction, or commercial further exploitation of the works to third parties requires the express written consent of the Provider. Templates, logos, and brands provided by the User remain the property of the User.
For third-party media used (e.g., stock photos), the license terms of the respective providers apply, which the User must observe.
The Provider is fully liable for intent and gross negligence. In the case of slight negligence, the liability of the Provider is limited to the typically foreseeable damage, unless essential contractual obligations (cardinal obligations) have been violated.
Liability for indirect damages, lost profits, or data loss is excluded to the extent permitted by law.
The Provider does not guarantee the success of the marketing measures or a specific reach of the created content. The effectiveness of marketing strategies and communication depends on numerous factors not influenced by the Provider.
The contract duration is derived from the respective contract. For ongoing services (e.g., content maintenance), the contract is valid for the agreed term and is automatically renewed for further contract periods unless terminated in writing by one party with a notice period of one month to the end of the contract period.
The right to terminate without notice for good cause remains unaffected for both parties. Good cause exists in particular if the other party violates essential contractual obligations despite a warning or is in default of payment.
Changes or additions to these GTC require the written form. This also applies to the waiver of the written form requirement.
The law of the Federal Republic of Germany applies, excluding the UN Sales Law.
The place of performance and jurisdiction for all disputes arising from this contractual relationship is, if the User is a merchant, the registered office of the Provider at Heinzplatz 191.
If a provision of these GTC is or becomes invalid, the validity of the remaining provisions remains unaffected. The parties undertake to replace the invalid provision with a valid one that comes as close as possible to the economic purpose of the invalid provision.
